Michael Botelho | National Association of Bond Lawyers’ Virtual Institute

On March 4, 2021, Updike, Kelly & Spellacy shareholder Michael Botelho chaired the panel “Understanding the Roles of Disclosure Counsel and Underwriter’s Counsel” at the National Association of Bond Lawyers’ virtual Institute.

The panel discussed the roles and responsibilities of underwriter’s counsel and disclosure counsel and addressed such topics as due diligence responsibilities, working with guidelines for outside counsel, client expectations, industry trends, holding a meaningful due diligence call, key considerations for the drafting of the bond purchase contract, diligence questionnaires and certain components of NABL’s Model Letter of Underwriter’s Counsel (2017 Edition) and NABL’s Model Letter of Disclosure Counsel (2018 Edition).

Attorney Botelho is Chairman of the firm’s Public Finance practice group and is a former Chairman of NABL’s Tax and Securities Law Institute, the most advanced conference for bond counsel practitioners in the country.  In addition, he has served on numerous other panels addressing various securities law and municipal finance issues, including bank direct purchases and primary and secondary disclosure. Attorney Botelho can be reached at (860) 548-2637 or at mbotelho@uks.com
