Kathleen H. Rudzik is a Shareholder in the Hartford office of the Firm. She is a member of the Firm’s Business, Tax and Estate Planning Practice Groups.

Ms. Rudzik provides assistance to clients in creation and dissolution of corporations (both stock and non-stock), partnerships, limited liability companies and other legal entities, including professional service entities, such as healthcare providers, architects and engineers. Ms. Rudzik represents a broad range of closely held businesses, including manufacturers, restaurant owners and real estate holding companies. In addition, she has significant experience with redemptions and liquidations of interests in corporations (both stock and nonstock), partnerships, limited liability companies and buy-sell arrangements between business owners. Ms. Rudzik also assists clients with sales and purchase of ongoing businesses and has experience in drafting and analyzing contracts and leases. Ms. Rudzik provides guidance to clients regarding the preservation of such entities’ legal status by maintaining minutes, reviewing of organizational documents, addressing governance issues and assessing whether foreign qualifications for such entities may be required.

Ms. Rudzik represents trustees, letter of credit bank and purchasers in and revenue bond financing transactions. Ms. Rudzik also has experience in asset based lending, commercial finance and other forms of secured lending transactions, including revolving loans, term loans and letters of credit to various types of businesses.

Ms. Rudzik has experience in all aspects of federal and state individual income and corporate income tax planning. She has obtained tax-exempt status for nonprofit corporations and private foundations. She has counseled clients on matters pertaining to federal income tax consequences resulting from the sales of business and commercial realty, mergers, reorganizations and acquisitions. Ms. Rudzik also renders advice on general federal income tax and Connecticut sales and use tax matters, including audits and appeals.

As a member of the Firm’s Estate Planning Practice Group, Ms. Rudzik has experience in all aspects of federal and state gift, estate and succession tax law applicable to estate planning, including business and financial planning.

Ms. Rudzik’s estate planning practice concentrates in the preparation of wills, revocable and irrevocable trusts, durable powers of attorney, durable health care directives, living wills, special needs trusts, charitable trusts and 529 Plans. She also has extensive experience with probate matters, including but not limited to, estate settlement matters and conservatorship issues.

Ms. Rudzik is a graduate of Westfield State College (B.A., Political Science and Psychology, cum laude), Western New England College School of Law (J.D., cum laude), and New York University School of Law (LL.M. in Taxation). Ms. Rudzik served as a Staff Member (1998-1999) and a Note Editor (1999-2000) on the Western New England Law Review. She is a member of the Connecticut and Massachusetts Bars and is admitted to practice before the United States Tax Court.
