Benjamin A. Wiles
Benjamin A. Wiles is a Shareholder in the Firm’s Storrs office and focuses his practice on venture finance and emerging high-growth companies.
Mr. Wiles advises emerging high-growth companies in corporate formation, debt and equity financings, mergers and acquisitions, strategic joint ventures, technology licensing, services and procurement agreements, commercial transactions and general corporate matters. Mr. Wiles also represents individual, institutional and strategic venture investors in debt and equity financings of their portfolio companies. His practice touches clients and investment targets in a wide variety of industries, including software, technology, financial services, insurance, healthcare and beverage alcohol. His representative transactions range from five-figure “seed stage” convertible note financings for newly formed companies to eight-figure late-stage preferred stock financings for the world’s largest venture capital firms.
Mr. Wiles also advises real estate developers, municipalities and early stage high-growth companies on issues relating to Opportunity Zone investments (pursuant to the Tax Cuts and Jobs Act of 2017).
Mr. Wiles is closely involved with the support and development of business incubators and accelerators, and has advised, formed and supported venture-focused business incubators and accelerators throughout the country. Mr. Wiles currently serves as a mentor and advisor to Accelerate UConn at the Connecticut Center for Entrepreneurship and Innovation, Hartford InsurTech Hub, the Peter J. Werth Institute for Entrepreneurship at the University of Connecticut, and other entrepreneurship and venture-related programs around the state. He is also an active member of the Connecticut blockchain community, adjunct instructor at the University of Connecticut in a course titled “Special Topics in Smart Contracts and Distributed Ledgers” and a regular contributor to the OpenLaw project.
Mr. Wiles earned his Bachelor of Arts degree from Swarthmore College in 2003 and his J.D. from the University of California, Hastings College of the Law in 2007. He lives in Mansfield with his wife and two children.
